1. Agreement to Terms

By accessing or using wizetube.com (the “Website” or “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may update these Terms by posting a revised version; continued use constitutes acceptance.

2. Our Role (Hosting at Users’ Direction)

Wizetube.com is an online service provider that stores and transmits content at the direction of users. We do not pre-screen all content and are not obligated to monitor user activity. We may remove or restrict content or accounts at our discretion, including to comply with law or court orders or to enforce these Terms.

3. Eligibility

You must be at least the age of majority in your place of residence (and in any case at least 18) to use the Service. You are responsible for compliance with laws applicable to you.

4. Accounts & Security

You are responsible for activity under your account and for safeguarding your credentials. Notify us promptly of any unauthorized use.

5. User Content & License

You are solely responsible for the content you upload or make available. You represent and warrant that you own or have all necessary rights to your content; that it does not violate law or third-party rights; and that all depicted persons are adults with proper documentation where required.

By submitting content, you grant Wizetube.com a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, display, transmit, and distribute your content for operating, promoting, and improving the Service. This license ends when you remove the content from the Service, subject to routine backups and legal holds.

6. Prohibited Conduct

You may not upload or engage in content or activity that is illegal; infringes intellectual-property, privacy, or publicity rights; is defamatory; promotes violence or self-harm; depicts or exploits minors; contains malware; or otherwise violates these Terms. We may remove content and/or terminate accounts in our discretion.

7. Intellectual-Property Policy (Notice & Takedown)

We respect intellectual-property rights and process reports in a manner consistent with 17 U.S.C. §512. To report content, use our Content Removal page. We act on substantially compliant notices, notify the uploader, and, where applicable, forward any valid counter-notification to the claimant. Restoration (if any) occurs within the time period permitted by applicable law unless we receive notice of court action.

Designated Copyright Agent (for notices only): see the contact listed on the Content Removal page. The Designated Copyright Agent is not authorized to accept service of subpoenas, complaints, or other legal process.

Repeat-Infringer Policy: We adopt and reasonably implement a policy to terminate, in appropriate circumstances, user accounts of repeat infringers. We may apply technical and account-level measures based on qualifying reports or court determinations.

8. No Waiver of Defenses; Safe-Harbor Reservation

Processing a report does not constitute an admission of infringement or liability. We reserve all defenses available under applicable law, including those under 17 U.S.C. §512.

9. Third-Party Services & Links

The Service may link to or rely on third-party sites or services. We are not responsible for third-party content, policies, or practices.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIZETUBE.COM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL BE ZERO (0). If a court holds that a zero cap is unenforceable in whole or in part, then—without waiving the foregoing—OUR AGGREGATE LIABILITY WILL INSTEAD BE LIMITED TO THE MINIMUM AMOUNT THAT CANNOT LEGALLY BE EXCLUDED UNDER APPLICABLE LAW, OR, IF PERMITTED, THE TOTAL AMOUNTS YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT.

Nothing in this Section limits liability that cannot be limited under applicable law.

12. Indemnification

You will defend (at our request), indemnify, and hold harmless Wizetube.com and its affiliates, officers, directors, employees, and agents from and against any claims, demands, actions, investigations, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to (a) your content; (b) your use of the Service; or (c) your violation of these Terms or law.

“Defend” means you will promptly provide a defense at your expense with counsel reasonably acceptable to us. We may assume the defense (at your expense) if you fail to defend promptly, if there is a conflict of interest, or if we reasonably determine it is necessary to protect our interests. We will provide you with reasonable cooperation at your expense.

13. Service Location; No U.S. Jurisdiction by Contract

Access to the Service does not create general or specific jurisdiction in any forum where we lack a physical presence or purposeful direction. Publication of the Website, the presence of user content, or the operation of a notice-and-takedown mailbox does not constitute consent to jurisdiction or venue in the United States.

14. Governing Law; Exclusive Venue; Pre-Suit Notice; Language & Translations; Security for Costs; Class-Action Waiver

Governing Law & Exclusive Venue. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of Ukraine, without regard to conflict-of-laws principles. The exclusive forum for any court proceedings shall be the courts located in Kyiv, Ukraine. We do not consent to jurisdiction or venue in the United States.

Condition Precedent — Pre-Suit Notice. Before filing any action, the claimant must send a detailed written notice of dispute to the contact provided on the Website (including the claimant’s identity, legal basis, facts, documents, and requested relief) and allow at least sixty (60) days for a written response and good-faith negotiations. Filing suit before completing this step shall result in dismissal without prejudice or a stay until completion.

Class-Action Waiver. You and Wizetube.com waive any right to participate in a class, consolidated, or representative action.

15. Service of Legal Process

Our Designated Copyright Agent (listed on the Content Removal page) is not authorized to accept service of subpoenas, complaints, or other legal process. Service of legal process must be effected in accordance with applicable law and delivered to the address we specifically designate for service of process upon written request.

16. Termination

We may suspend or terminate access to the Service at any time, with or without notice, including where we believe you have violated these Terms or law. Sections that by their nature should survive (including licenses, disclaimers, limitations, indemnities, governing law, venue) will survive termination.

17. Miscellaneous

These Terms constitute the entire agreement between you and Wizetube.com regarding the Service and supersede prior agreements. If any provision is held invalid, the remainder will remain in effect. No waiver is effective unless in writing and signed by us. You may not assign these Terms without our consent; we may assign them without restriction.
